The specific scope, deliverables, and terms of each service engagement will be detailed in a separate Service Agreement or Statement of Work that will be provided to you prior to the commencement of services.

3. Eligibility

To use our services, you must:

• Be at least 18 years of age or have parental/guardian consent
• Have the legal capacity to enter into binding contracts
• Provide accurate and complete information as requested
• Comply with all applicable laws and regulations

By using our services, you represent and warrant that you meet all eligibility requirements.

4. User Accounts

When you create an account with us, you must provide accurate, complete, and current information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account
• Ensuring that you exit from your account at the end of each session

• Fees are due according to the payment terms specified in your agreement
• Late payments may be subject to interest charges at 1.5% per month
• You are responsible for all applicable taxes
• We reserve the right to suspend services for non-payment

All fees are non-refundable except as expressly stated in these Terms or required by law.

6. Intellectual Property

The B-Techspires website and services, including all content, features, and functionality, are owned by TechSolutions and are protected by copyright, trademark, and other intellectual property laws.

7. User Content

"User Content" refers to any content you submit, upload, or transmit through our services. You are solely responsible for your User Content and the consequences of posting or publishing it.

By submitting User Content, you represent and warrant that:

• You own or have the necessary rights to the content
• The content does not violate any third-party rights
• The content is accurate and not misleading
• The content complies with all applicable laws

We reserve the right to remove any User Content that violates these Terms or that we find objectionable.

• You remain responsible for any fees incurred prior to termination

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

• Our services will be uninterrupted, timely, secure, or error-free
• The results that may be obtained from the use of our services will be accurate or reliable
• The quality of any services, information, or other material obtained by you will meet your expectations
• Any errors in our services will be corrected

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TECHSOLUTIONS, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of or inability to access or use our services
• Any conduct or content of any third party on our services
• Any content obtained from our services
• Unauthorized access, use, or alteration of your transmissions or content

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES, WHETHER IN CONTRACT, TORT, OR OTHERWISE, IS LIMITED TO THE AMOUNT YOU HAVE PAID TO US IN THE LAST SIX MONTHS.

12. Indemnification

You agree to defend, indemnify, and hold harmless TechSolutions and its licensees and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:

• Your use of and access to our services
• Your violation of these Terms
• Your violation of any third-party right, including without limitation any copyright, property, or privacy right
• Any claim that your User Content caused damage to a third party

13. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

14. Dispute Resolution

Any dispute arising from or relating to these Terms or our services shall be resolved as follows:

1. Informal Negotiation: The parties shall first attempt to resolve the dispute through informal negotiation.
2. Mediation: If informal negotiation fails, the parties shall attempt to resolve the dispute through mediation conducted in San Francisco, California.
3. Arbitration: If mediation fails, the dispute shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association.
4. Court Proceedings: Either party may seek injunctive relief in any court of competent jurisdiction.

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

15. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our services after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using our services.
